From S Corp to QSBC:
Worth the Move?

A question came up recently that I’ve heard more than once:
“Can I turn my S corporation into something that gives me a better tax result when I sell?”
The short answer is yes… but not in the way most expect.
And with the latest law changes, the opportunity is more compelling than it used to be.
Here are three points to consider:
- The upside is significant. Under the QSBC rules, you may be able to exclude up to 100% of the gain on a stock sale—subject to limits and holding periods.
- But an S corporation doesn’t qualify directly. That’s where many get tripped up—the structure has to change before you can access these benefits.
- Tax Tip: Timing and structure matter. Whether it’s revoking S status, forming a new C corporation, or using a subsidiary approach, the path you choose determines what portion of future gain may qualify.
I’ve seen this strategy work well—but only when planned early. Waiting until you’re ready to sell is usually too late.
